Please read these Terms carefully. They apply to licensed insurance agents and agencies that use RingProX services, and to anyone visiting RingProX.com.

1. Agreement to These Terms

These Terms and Conditions ("Terms") govern your access to and use of the RingProX website located at RingProX.com (the "Site") and any services offered by BonessiLife LLC d/b/a RingProX ("RingProX," "we," "us," or "our"). By using the Site, submitting a request, or purchasing services, you agree to these Terms. If you are accepting on behalf of an agency or other business, you represent that you have authority to bind that business, and "you" refers to that business.

If you do not agree to these Terms, do not use the Site or the services.

2. Our Services

RingProX is a business-to-business marketing company. We generate and deliver consumer-initiated inbound telephone calls from consumers who have expressed interest in insurance products, including Final Expense and, where offered, ACA Marketplace and Medicare Advantage coverage (the "Calls"), to licensed insurance agents and agencies ("Agents").

RingProX is not an insurance company, agency, broker, or producer. We do not sell, solicit, negotiate, or bind insurance, do not provide insurance advice, and are not a party to any transaction between an Agent and a consumer.

The specific call types, volumes, geographic targeting, hours, pricing, and other commercial terms of any campaign are set out in a separate order, insertion order, or written agreement made with you (an "Order"). If an Order conflicts with these Terms, the Order controls for that campaign.

3. Eligibility

Our services are offered only to businesses and individuals who are at least 18 years old and who hold, and will maintain, all insurance licenses and appointments required to sell the relevant products in each state where they receive Calls. By using the services, you represent and warrant that:

  • you and every person who handles Calls on your behalf are properly licensed and appointed in each state for which you request Calls;
  • you will notify us promptly if any license is suspended, revoked, lapses, or becomes restricted; and
  • the information you provide to us is accurate and complete.

We may request proof of licensure at any time and may refuse or suspend service if we cannot verify eligibility.

4. No Guarantee of Results

Call outcomes depend on many factors outside our control, including consumer behavior, your availability, sales skills, product selection, and underwriting decisions. We do not guarantee any particular number of Calls, contact rate, conversion rate, sale, policy placement, commission, persistency, or return on investment. Any examples or descriptions on the Site are illustrative only.

5. Pricing, Billing, and Payment

Prices are not published on the Site. Pricing, billing frequency, payment method, deposit or prepayment requirements, any call-duration or qualification criteria, and any return or credit policy are agreed with you on a call and confirmed in your Order. Unless your Order states otherwise:

  • fees are due in advance or on the schedule stated in your Order;
  • fees are non-refundable except as expressly provided in your Order;
  • you are responsible for applicable taxes; and
  • we may pause delivery of Calls if any amount is past due.

Any request for a credit must be submitted in writing within the timeframe stated in your Order and is reviewed at our reasonable discretion.

6. Agent Compliance Responsibilities

You are solely responsible for your conduct on every Call and for your compliance with all applicable laws, regulations, and rules, including without limitation:

  • state insurance licensing, appointment, producer, and continuing-education requirements;
  • the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), the National Do Not Call Registry, state telemarketing and "mini-TCPA" laws, and any internal do-not-call obligations, including for any follow-up calls or text messages you place;
  • federal and state insurance marketing and unfair trade practice rules, including Centers for Medicare & Medicaid Services (CMS) marketing and communications rules for Medicare products, and federal and state Health Insurance Marketplace rules for agents and brokers selling ACA products, as applicable;
  • call recording consent laws, including all-party consent requirements in certain states;
  • carrier, FMO/IMO, and agency requirements; and
  • privacy and data-security laws governing consumer information you receive.

You must clearly identify yourself as a licensed agent, must not misrepresent your relationship with any government agency or carrier, and must honor any consumer's request not to be contacted. You will use consumer information received from a Call only to respond to that consumer's inquiry and will not resell, share, or transfer that information except as permitted by law.

7. Acceptable Use

You agree not to:

  • use the Site or services for any unlawful, deceptive, abusive, or fraudulent purpose;
  • harass, threaten, pressure, or mislead any consumer;
  • resell, sublicense, broker, or redistribute Calls or consumer information without our written permission;
  • interfere with, disrupt, scrape, or attempt to gain unauthorized access to the Site, our systems, or our call-routing technology;
  • submit false information or impersonate any person or business; or
  • use the services in any manner that could expose RingProX to regulatory action or liability.

8. Intellectual Property

The Site and its content, including the RingProX name, logo, text, graphics, designs, and software, are owned by or licensed to RingProX and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable right to view the Site for your internal business purposes. You may not copy, modify, distribute, or create derivative works from the Site or use our name or marks without our prior written consent. Any feedback you provide may be used by us without obligation to you.

9. Third-Party Services and Links

The Site or services may rely on or link to third-party services, such as telephone carriers, call-tracking platforms, scheduling tools, or payment processors. We are not responsible for third-party services, content, or practices, and your use of them may be subject to their own terms.

10. Disclaimers

The Site and services are provided "as is" and "as available." To the fullest extent permitted by law, RingProX disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Site or services will be uninterrupted, error-free, or that any Call will result in a sale.

Nothing on the Site is legal, compliance, tax, or insurance advice. You should consult your own advisors regarding your obligations.

11. Limitation of Liability

To the fullest extent permitted by law, RingProX and its owners, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost commissions, lost revenue, lost data, or business interruption, arising out of or relating to these Terms, the Site, or the services, even if advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to these Terms, the Site, or the services will not exceed the amount you paid to RingProX for the services giving rise to the claim during the thirty (30) days before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless RingProX and its owners, officers, employees, contractors, and partners from and against any claims, demands, losses, liabilities, penalties, fines, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the services or handling of any Call; (b) your violation of these Terms or any Order; (c) your violation of any law, regulation, or third-party right, including the TCPA, telemarketing laws, insurance laws, or privacy laws; or (d) any communication you make with a consumer, including any follow-up calls, texts, or emails.

13. Suspension and Termination

Either party may end the services as provided in the applicable Order. We may suspend or terminate your access to the Site or services at any time, with or without notice, if we believe you have violated these Terms, an Order, or applicable law, if your licensure cannot be verified, if payment is past due, or if continuing service would create legal or reputational risk. Sections that by their nature should survive termination, including payment obligations, compliance responsibilities, intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms, the Site, or the services will be brought exclusively in the state or federal courts located in St. Johns County, Florida, and each party consents to the personal jurisdiction of those courts. Before filing any claim, the parties agree to try in good faith to resolve the dispute informally by written notice for at least thirty (30) days.

15. General Terms

These Terms, together with any Order and our Privacy Policy, are the entire agreement between you and RingProX regarding their subject matter. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. The parties are independent contractors.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Changes take effect when posted, unless an Order provides otherwise. Your continued use of the Site or services after changes are posted means you accept the updated Terms.
